Specialised Committees

At its 19 February 2008 meeting, the Supervisory Board decided to create two specialist committees: the Audit Committee and the Investment Committee to assist it in its decision-making and to carry out prior in-depth analyses of the proposals put to it.

The Audit and financial statements committee

• This Committee has three members:
  • Jean-Claude Halb, Chairman,
  • Philippe Le Trung
  • Christophe Montcerisier

The Audit Committee is tasked with:

• Examining the group’s accounting and asset appraisal methods;
• Examining the draft company and consolidated financial statements prepared by the management, prior to their presentation to the Board;
• Preparing Board decisions regarding the supervision of internal audits;
• Examining the MoUs for services signed between the Company and persons with either a direct or indirect interest in the Company;
• Examining the proposals for the appointment of the Company’s auditors.

The Audit Committee reports to the Board about its work expresses all opinions and makes any suggestions it deems appropriate and advises the Board of any points for which it needs to make a decision.

The Investment Committee

• This Committee has four members:
  • Christophe Kullmann, Chairman
  • Olivier Estève
  • Christophe Montcerisier
  • Nathalie Robin

The Committee is responsible for examining investment operations dealing in particular with the acquisition of property assets or shares and the relevant bank loans when the relevant value is greater than €15 million.

The Investment Committee also reports on its work to the following Board Meeting.

The Management Committee

Foncière Europe Logistique Gestion S.A.S, chaired by François de la Rochefoucauld and fully owned by Foncière des Régions, is the sole managing partner of Foncière Europe Logistique.

• It is comprised of:
  • François de la Rochefoucauld, head of the Logistics Property Division.
  • Christian Raynaud, head of the Business Premises Division.
  • Christophe Broncard, MRICS, head of the Garonor Property Division.
  • Alexis Guétin, Secretary-General, is responsible for administration and financial communication
  • Gwenaël Bourban, Director Investments, MRICS, steers acquisitions and development operations
  • Maurice Matteodo, Technical Director, coordinates technical and works activities.

Foncière Europe Logistique Gestion relies on the teams of Foncière des Régions for all company support activities (human resources, IT, etc.). Property management activities (rental, administration, technical, etc. management) are delegated to the Foncière des Régions teams.
